Naarayan Technologies LLC ("Naarayan", "Company", "we", "us", or "our") is a marketplace platform that enables users to discover, browse, purchase, and interact with products, brands, and third-party sellers.

Naarayan acts as an intermediary marketplace platform and may facilitate transactions between users and independent sellers or brands.

By accessing or using the Platform, you confirm that:

• You are legally capable of entering into a binding agreement;
• You agree to comply with these Terms and all applicable laws.

If you are accessing the Platform on behalf of a company or organization, you represent that you have the authority to bind such entity to these Terms.

Naarayan provides an online marketplace where users may:

• Access promotional offers and discounts;
• Interact with brands and sellers;
• Manage user accounts and orders;
• Access customer support services.

We reserve the right to modify, suspend, discontinue, or update any part of the Platform or Services at any time without prior notice.

To access certain features, you may be required to create an account.

You agree to:

• Provide accurate and complete information;
• Keep your login credentials secure;
• Update your information when necessary;
• Accept responsibility for all activities conducted through your account.

You must immediately notify us of any unauthorized use of your account.

Naarayan reserves the right to suspend or terminate accounts that contain false information or violate these Terms.

Naarayan operates as a marketplace platform connecting users with third-party brands and sellers.

Unless explicitly stated otherwise:

• Products listed on the Platform may be sold by independent sellers;
• Product descriptions, pricing, availability, warranties, and shipping details are provided by sellers;
• Naarayan does not manufacture products listed by third parties.

While we strive to maintain accuracy and quality standards, Naarayan does not guarantee the accuracy, legality, safety, or quality of products listed by third-party sellers.

All prices displayed on the Platform are listed in US Dollars (USD) unless otherwise specified.

Users agree to pay all applicable charges, taxes, shipping fees, and other charges associated with purchases.

Payments may be processed through third-party payment gateways. Naarayan does not store complete payment card information.

We reserve the right to:

• Correct pricing errors;
• Cancel fraudulent or suspicious transactions;
• Refuse or limit orders at our discretion.

Refunds, returns, replacements, and cancellation policies may vary depending on the seller or brand.

Each product listing or brand page may contain specific return and refund terms applicable to that product.

Users are encouraged to review the applicable seller policies before making a purchase.

General guidelines:

• Refund timelines may vary depending on payment provider and seller processing;
• Certain items may be non-returnable or non-refundable;
• Refund approvals are subject to seller verification and platform policies.

Naarayan reserves the right to reject refund or return requests that violate applicable policies or appear fraudulent.

You agree not to:

• Violate any applicable laws or regulations;
• Use the Platform for fraudulent or unlawful purposes;
• Upload malicious software, viruses, or harmful code;
• Impersonate another person or entity;
• Interfere with Platform security or operations;
• Use automated systems, bots, or scraping tools without authorization;
• Post false, misleading, abusive, defamatory, or offensive content.

Naarayan may suspend or terminate accounts engaged in prohibited activities.

All Platform content including logos, branding, website design, text, graphics, software, images, videos, user interface elements, and trademarks are owned by or licensed to Naarayan and are protected under applicable intellectual property laws.

You may not copy, reproduce, distribute, modify, or commercially exploit any content without prior written permission.

Users may submit reviews, comments, ratings, feedback, or other content.

By submitting content, you grant Naarayan a worldwide, royalty-free, non-exclusive license to use, display, reproduce, and distribute such content in connection with operating and promoting the Platform.

You represent that your submitted content:

• Does not violate any law;
• Does not infringe third-party rights;
• Is not harmful, abusive, or misleading.

Naarayan reserves the right to remove any content at its discretion.

The Platform may contain links to third-party websites, services, or applications.

Naarayan is not responsible for:

• Third-party content;
• External websites;
• Seller conduct;
• Payment gateway services;
• Shipping providers;
• Third-party privacy practices.

Your interactions with third parties are solely between you and the applicable third party.

Your use of the Platform is also governed by our Privacy Policy. By using the Platform, you consent to the collection, storage, and use of information in accordance with our Privacy Policy.

We may suspend, restrict, or terminate your access to the Platform if:

• You violate these Terms;
• We suspect fraudulent or unauthorized activity;
• Required by law;
• Necessary to protect Platform security or users.

You may stop using the Platform at any time.

Termination of access does not affect any obligations or liabilities incurred before termination.

The Platform and Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Naarayan disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy or reliability of content, and uninterrupted or error-free operation.

To the fullest extent permitted by law, Naarayan and its affiliates, directors, employees, partners, and licensors shall not be liable for:

• Indirect or consequential damages;
• Loss of profits or revenue;
• Data loss;
• Business interruption;
• Seller-related disputes;
• Product defects caused by third-party sellers.

In no event shall Naarayan's total liability exceed the amount paid by the user for the specific transaction giving rise to the claim.

You agree to indemnify and hold harmless Naarayan, its affiliates, employees, directors, and partners from any claims, liabilities, damages, losses, or expenses arising from:

• Your use of the Platform;
• Violation of these Terms;
• Violation of applicable laws;
• Infringement of third-party rights.

Naarayan shall not be liable for any delay or failure resulting from events beyond reasonable control including natural disasters, internet outages, government restrictions, war, pandemic events, labor disputes, and cybersecurity incidents.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in Delaware.

We reserve the right to update or modify these Terms at any time. Updated Terms become effective upon publication on the Platform. Continued use of the Platform after updates constitutes acceptance of the revised Terms.

In accordance with the Information Technology Act, 2000 and applicable rules, the following Grievance Officer has been appointed:

The Company aims to acknowledge grievances within 48 hours and resolve them within 15 business days.

These Terms, together with the Privacy Policy and any additional policies published on the Platform, constitute the complete agreement between you and Naarayan regarding use of the Platform.
